Payment Terms

These terms apply to you if you use our payment processing services.

Indemnity

You will indemnify, defend, and hold us and our processors (and our respective employees, directors, agents, affiliates and representatives) harmless from and against any and all claims, costs, losses, damages, judgments, tax assessments, penalties, interest, and expenses (including without limitation reasonable attorneys’ fees) arising out of or in connection with any claim, action, audit, investigation, inquiry, or other proceeding instituted by any person or entity that arises out of or relates to: (a) any actual or alleged breach of your representations, warranties, or obligations set forth in these Terms; (b) your wrongful or improper use of the Services; (c) your violation of any third-party right, including without limitation any right of privacy, publicity rights or Intellectual Property Rights; (d) your violation of any law, rule or regulation of the United States or any other country or any inaccuracy in any Tax Information provided hereunder; (e) any third-party claims made by your Buyer regarding our processing of your customer/Buyer’s Personal Information in connection with providing you with the Services; and (f) any other party’s access and/or use of the Services with your unique name, password or other appropriate security code; and (g) any transaction, purchase, good or service in respect of which we provides, or provided, you with payment processing services in accordance with the Terms.

Restrictions

You may not: copy, reproduce, alter, modify, create derivative works, republish, upload, post, transmit, resell or distribute in any way material, information or Services; interfere with the services use the services for anything illegal

Copyright and Trademark Infringement

You may not violate any intellectual property rights.

Your information

Keep your personal information secure. We are not liable for any unauthorized use on your accout that is as a result of you not keep your information secure. We have security in place to keep your transactions secure.

Communications

You consent to us sending you emails, as well as other communications such as calls and text messages. You may opt out of promoational emails.

Paid Services

We collect payments from merchants for payments. Specific terms apply.

Taxes

You are responsible for your own taxes.

Modification and Termination

We can deny you access to our services at any time, for any reason. We are not responsible for any losses as a result.

Your License

We grant you a limited, non-exclusive, revocable, non-transferable, non-sublicensable license to use the Services, and a royalty-free, limited, non-exclusive, revocable, non-transferable, non-sublicensable license to use the Services as authorized in these Terms. We may make updates to the Services available to you, which you must accept to continue using the Services. Any such updates may be subject to additional terms made known to you at that time.

Ownership

We own all rights to the services. You may not infringe on our intellectuial propery rights.

Representations and Warranties

You represent and warrant to us that: (a) you are at least eighteen (18) years of age; (b) you are located in the United States; (c) you are eligible to register and use the Services and have the right, power, and ability to enter into and perform under these General Terms; (d) any information you provide in connection with the Services, including your business name, accurately and truthfully represents your business or personal identity under which you sell goods and services; (e) you and all transactions initiated by you will comply with all federal, state, and local laws, rules, and regulations applicable to you and/or your business, including the Health Insurance Portability and Accountability Act (“HIPAA”); (f) you will not use the Services, directly or indirectly, for any fraudulent undertaking or in any manner so as to interfere with the operation of the Services; and (g) your use of the Services will be in compliance with these Terms.

No Warranties

Our products and services are provided as is, without warranties.

Limitations of Liability and Damages

We are not liable for any damages that result from your use of the services.

Binding Arbitration

All disputes that are not resolved informally are resolved through bindind arbitration. You waive any right to a jury or to participate in a class action. You agree to attempt to attempt to resolve any disputes informally before any arbitration. All arbitration are administered by National Arbitration and Mediation (“NAM”) (https://www.namadr.org). In the event NAM is unavailable to administer the arbitration, either party may invoke 9 U.S.C. § 5 to request that a court appoint the Arbitrator.

Cryptocurrency Transactions

All transactions in the cryptocurrency market are subject to fees. The fees are paid by the customer. The price at which the customer pays is calculated using the current market price of the cryptocurrency. All wallets are secured in the transaction. Bitcoin is subjext to price volatility. All Bitcoin is converted to currency and transferred to bank accounts daily.

Merchants

While you’re using our products and services, you may be offered services from third parties. We are not responsible for any issues you may have with them. We are not responsible for disputes pertaining to services offered from merchants who utilize our services.
